Spectrum Oil Corporation is engaged in the business of oil and gas exploration on two (2) blocks of land, approximately equal in size, totaling approximately 14,000,000 acres located in Eastern Paraguay. The Company acquired oil and gas exploration and production rights on one (1) of such blocks (the “San Pedro Area”) by purchasing the assignment to Company from Guapex, S.A. and Guarani Exploration And Development Corporation, a Nevada corporation of a 100% interest (subject to production royalties payable to Guapex and the Government of Paraguay) in an existing oil and gas exploration lease concession covering the San Pedro Area previously issued to Guapex and/or Guarani by the Government of Paraguay. The Company acquired oil and gas exploration and production rights on the other of such blocks (the “Alta Parana Area”) by entering into a Farmout Agreement between Company, as farmee, and Guarani, Guapex, and Explotaciones Petroliferas, S.A. (“Expesa”), as farmors, whereby the Company can earn a 50% interest (limited to 40% with regard to the shallower, Permian and/or any higher formations, located on one structure within the Alta Parana Area) in an existing oil and gas concession grated by the Government of Paraguay to Texaco Exploration of Paraguay, Inc. (“Texaco”) and subsequently assigned to Guarani, Guapex, and Expesa.
