Neighborhood Box Office, Inc. (the “Company”), formerly known as The Shafer Company, was organized for the purpose of developing, marketing, owning and operating remote, interactive event and activity ticket dispensing and merchandise distribution systems operated through free-standing kiosks (the “Ticket System”). The kiosks will be placed in various geographic areas, initially consisting of certain major event ticket markets in the United States. The Company intends to operate the Ticket System under the trade name of “Neighborhood Box OfficeSM.”
